General

GizThis provides you with an augmented reality application which enables to add additional content, such as other applications, features and services (together: "Services"), including but not limited to text, pictures, graphics, videos and links as well as images required for the recognition of the before mentioned Services (jointly: "Third Party Content"), to printing materials in the public space to you ("User") by third party publishers ("Publishers"). We also enable you to add or generate your own content by interacting with other users ("User Generated Content"). When using our Services, it is important that you respect locations, intellectual property rights, privacy and the rights of third parties at all times.

1. Acceptance

1.1. Please read these Terms and Conditions of Use ("Terms") carefully. By using the Services in whichever form, through whatever technological means and wherever you are, or by opening a user account, you enter into an agreement with GizThis and accept these Terms as well as our Privacy Policy below and – by continuing your use of the Services – all amendments that GizThis implements and communicates to you.

1.2. You are only permitted to access and use the Services if you are older than 13 years. If you are between 13 and 18 years of age, please read these Terms together with your legal guardian(s), who must give permission for such access/use.

2. Use of Services

2.1. You are responsible for any User Generated Content that you exchange, provide or upload, whether or not you connect to our Services directly or through a third party. You should always be aware of and pay cautious attention to the context and environment in which you exchange, provide or upload content. You will refrain from: (i) posting or displaying content that is offensive, degrading, indecent, libelous, obscene, pornographic or otherwise objectionable to others or that violates the privacy, intellectual property or other rights of third parties or is in violation of legislation or regulation, including international treaties – in particular content containing material that is protected by intellectual property rights, without the written consent of the owner of such rights, other than excerpts permitted legally; (ii) impersonating any person or entity, or forge or manipulate headers to disguise the origin of content; (iii) jeopardizing yourself or any third party in any way by using the Services; (iv) engaging in any activity that, directly or indirectly, interferes with or disrupts the Services; (v) harvesting or otherwise collecting data about others, including email addresses, without their consent; (vi) interact with other users of the Services in contravention of these Terms or in an unlawful manner. You must take all necessary measures to protect your devices from viruses, worms and other harmful content.

2.2. You understand that we are not responsible for any User Generated Content, All User Generated Content which you may decide to exchange, provide or upload, will not be reviewed in advance by us – but we reserve the right to take down any User Generated Content if we deem this to be unlawful or in breach of these Terms and other applicable Terms. We ask that you flag or inform us in accordance with our Notice-and-takedown Procedure, if you become aware of (potentially) unlawful or infringing content exchanged, provided or uploaded by others. You indemnify us from and hold us harmless against any and all claims from third parties that the User Generated Content is in contravention of any (international) laws, regulations or is otherwise considered unlawful or harmful.

2.3. Third Party Content or parts thereof may be protected by intellectual property rights. You may not modify, sell or distribute the Third Party Content in any way.

2.4. You will not modify, copy, or create derivative works based on the Services. You will refrain from (re-)selling, trading, renting, licensing, loaning or distributing the Services.

2.5. The Services may contain links to other websites/sources. We do not control these, we are not responsible for any information contained therein and we disclaim any responsibility for these websites/sources.

2.6. You accept that you may be exposed to Third Party Content that is offensive, indecent or otherwise objectionable. Third Party Content may also contain material that violates the privacy, intellectual property or other rights of third parties. We do not represent or imply that we approve of the Third Party Content and we cannot review or verify whether the Third Party Content is accurate, useful or harmless. Should you come across Third Party Content which violates any applicable law or regulation (including intellectual property, privacy laws and regulations), please get in contact with our support under support@gizthis.com.

2.7. As part of the registration process or as part of the continued use of the Services you may be required to provide information about yourself. You will provide accurate, correct and up-to-date information. You are solely responsible for maintaining the confidentiality and security of your User account, including your passwords. You understand that by using the Services, you may be subject to third party cookies. Please read our Privacy Policy.

2.8. You are responsible for protecting the security of any content, including User Generated Content that is stored on the (mobile) device used to get access to the Services.

2.9. We may permanently or temporarily suspend provisioning of the Services or parts thereof, at our sole discretion, without prior notice to you.

3. Intellectual Property Rights

3.1. GizThis or its licensors owns all right, title and interest, including but not limited to intellectual property rights, in and to the Services, and unless agreed otherwise, you may not reverse engineer, decompile or otherwise (attempt to) extract the source code of the software which GizThis or its licensors provides you – unless this is explicitly permitted.

3.2. Unless we have agreed this, or specific guidelines permit this, you are not allowed to use the GizThis logo or any other trademark, service mark, graphic and logo used by GizThis or its Publishers.

3.3. You retain any and all rights you already hold in content you post or display.

3.4. We grant you a personal, worldwide, terminable, non-assignable, royalty-free and non-exclusive right to use: (i) the software we provide to you, and (ii) the content we provide to you, in connection with your use of the Services.

3.5. You grant GizThis and its affiliated companies a perpetual, irrevocable, worldwide, royalty-free and non-exclusive license to reproduce, adapt, modify, translate, publish, display and distribute any content (including User Generated Content) which you exchange, provide or upload on or through the Services. This license is restricted to the goal of enabling GizThis or its affiliated companies to perform, display, distribute and promote its Services, including but not limited to providing you with access to the content. Your license includes a right for GizThis or its affiliated companies to make the content available and sublicensee it to Publishers, suppliers, other companies, organizations and individuals with whom GizThis cooperates with in providing the Services or developing and providing other services. You represent and warrant to GizThis that you have all necessary rights, power and authority to grant the license.

4. Liability and Warrantees

4.1. GizThis provides the Services with reasonable care and skill. You understand and accept that the Services are provided "as is" and "as available". GizThis disclaims all warranties of any kind, whether express or implied, and including warranties: (i) of merchantability, fitness for a particular purpose and non-infringement; and warranties that (ii) the Services are error free or that access thereto is uninterrupted; and (iii) the content or other information obtained through the Services is correct and reliable.

4.2. You agree that neither GizThis nor its affiliated companies are liable to you for any form of damages or loss which may be in incurred by you in relation to your use of the Services. Unless and to the extent that damages are the direct result of wilful intent or gross negligence of GizThis, GizThis accepts no liability for any direct, indirect and consequential damages and loss of business and data, whether based on contract, unlawful act (including negligence), or otherwise arising from or relating to the Services, even if GizThis or its affiliated companies have been informed or should have known of the possibility of such damages.

4.3. You represent and warrant that: (i) your use of the Services is in strict compliance with GizThis' instructions and all applicable laws and regulations (including any local laws or regulations in your country or state regarding online conduct and acceptable content and the transmission of technical data); and (ii) your use of the Services will not infringe or misappropriate the intellectual property rights of any third party. You indemnify GizThis from and hold GizThis harmless against any and all claims, including reasonable attorneys' fees, resulting from you using the Services, and creating any content.

5. Termination

5.1. GizThis is entitled to terminate the agreement with you, wholly or in part, if: (i) you breach any provision of these Terms; (ii) GizThis is obliged to do so by law or through an order of any competent authority; or (iii) GizThis decides to permanently suspend the Services.

5.2. You understand and accept that upon termination of the agreement you will have to stop using the Services immediately and remove any content you have been using from your devices.

5.3. All provisions that are intended to survive the termination, by nature or because such has expressly been provided for in these Terms or any agreement with you, shall survive such termination. These provisions include, but are not limited to, provisions regarding intellectual property, warranty exclusions, indemnity and limitations of liability and applicable law.

6. Miscellaneous

6.1. These Terms and the use of the Services are governed by the laws of Delaware, US. Any disputes relating thereto will be held before the competent court in Wilmington, DE in the United States.

6.2. If any provision of the Terms is held invalid or unenforceable, that provision will be construed to reflect the parties' original intent. Despite the invalidity or unenforceability of such provision, all other provisions will remain in full force and effect.

6.3. You agree that if GizThis does not exercise or enforce any legal right or remedy, this will not constitute a formal waiver of GizThis' rights.

6.4. We may at any time and without giving notice to you assign our rights under any agreement with you.

If you are a user ("User") of our services – such as an augmented reality application that enables the exchange of content in the public space, if you have access to augmented reality layers which may contain content, such as text, pictures, graphics, videos and links as well as images required for the recognition of features to display content, jointly referred to as the "Third Party Content", and other applications, features and services (together: "Services"), if you generate content ("User Generated Content"), then it is unavoidable that some personal data will be collected. In case we collect the data, we will use, store and process such data only to the extent described in this Privacy Policy.

When using or contributing to any of our Services you consent to the collection, transfer, manipulation, storage, disclosure and other uses of your information as described in this Privacy Policy, irrespective of which country that you reside in or create information from. This Privacy Policy is part of and subject to the GizThis Terms and Conditions of Use. We reserve the right to change this Privacy Policy at any time. New versions of the Privacy Policy will be made available through our website gizThis.com. Should any new version of the Privacy Policy contradict with this version of the Privacy Policy, then the new version prevails.

1. Information Collection and Use

1.1. This Privacy Policy sets forth the terms under which we will collect and process your personal data when we provide the Services. For a number of our Services, we sometimes require that you create a User account with us. Please read section 3 of this Privacy Policy.

1.2. We allow you to login through social networks that you have linked to, provided you have fully complied with their requirements on creating a user account, and that you refer to such networks as part of your profile.

1.3. All Third Party Content which you can access through the Services is provided to you by those third parties. However, for some features it is unavoidable that some personal data will be collected through our websites and the Services or through other contacts. By accessing Third Party Content, you grant us permission in respect of the processing of any of your personal data that may be contained therein.

1.4. Third parties, such as Publishers, are the controllers with regard to the processing of your personal data in connection with your use of the Third Party Content, and, in that capacity, are solely responsible for compliance with applicable data protection and other legislation and regulation with regard to such processing.

1.5. Our servers will aggregate, store and process data. You grant us permission in respect of the processing of any of your personal data that are contained therein.

1.6. By exchanging, providing and/or uploading User Generated Content, you grant us permission in respect of the use, storage and processing of any of your personal data that are contained therein. You should be fully aware that any personal data of third parties that are contained in your User Generated Content are subject to data protection and other legislation and regulation and you are fully responsible for compliance with these laws and regulations. We require that you exercise due care when exchanging personal data of others as part of User Generated Content.

1.7. Whenever you return to the Publisher, it will recognize you as a repeat visitor, but – unless you provided your personal data, such as username or IP address –, the system will not be able to trace you.

1.8. Only you determine the purposes for which you collect, use and disclose content, including User Generated Content, through the GizThis websites or the application; you are the controller with regard to these data.

1.9. Our servers automatically record information created by your use of and contribution to the Services ("Log Data"). Log Data may include information such as your phone ID, device, operation system or browser type. We will aggregate and anonymize the Log Data, add up all individual events and only use the aggregate data for statistical purposes.

1.10. We will process location data for which you gave us your consent, including but not limited to your GPS-location, which were provided by you or which we receive from GPS location service providers.

2. Collection, Use and Transfer of Personal Data

2.1. We commit to not selling or providing your personal data to third parties.

2.2. We may use the collected personal data for the following purposes: (i) the provision of access to the Services and subsequent transmission of Third Party or User Generated Content, including us extracting features from Reference Images to provide the Services; (ii) enabling you to share your information and communicate with other users; (iii) improvement and technical administration of the GizThis platform and/or Services; and (iv) the distribution of the Third Party Content and/or User Generated Content.

2.3. We reserve the right to access and disclose individually identifiable information to comply with applicable laws and lawful government requests, to operate our systems properly or to protect us or our (other) users. We may also disclose your personal data to third parties in the event that we sell or buy any business or assets. We reserve the right to disclose anonymized User account data to the prospective seller or buyer of such business or assets. If GizThis or substantially all of its assets are acquired by a third party, personal data about you as a customer will be one of the transferred assets.

3. User Account

3.1. By creating a User account, you allow others, including GizThis, to identify you. In order to open an account, you must provide us at least with the following information: username, password and email address. Apart from this, we may collect data from you regarding the following categories: additional contact information, device, payment, marketing, sales, and user generated information profiles, inventory and storage information.

3.2. Once you have opened a user account you may exchange, provide, and upload additional information in the profile section, which will be visible to others. Additional personal data will be added to your account when you use the Services. By doing so, you consent to the further dissemination, processing, removal and storage of profile section information. If you share information about yourself or others by means of your user account this will be visible to anyone also using the Services. If you wish to exchange, provide or upload information about other individuals, you are advised to obtain their consent first.

4. Data Security

We have implemented appropriate technical and organizational security measures pertaining to the storage and provision of personal data, in order to, amongst others, prevent access to your personal data by any unauthorised persons. Your personal data shall only be accessed by authorised staff. These staff members are obliged to preserve the confidentiality of all the information that comes to their attention, unless disclosure is compulsory by law or necessary for the fulfilment of their task.

5. Cookies

GizThis may use cookies that keep track of your activity on our website in an effort to show you useful, relevant advertisements. This means that you may see targeted ads for GizThis services on other websites you visit, depending on your activity on our website.
